Role of the Project Director and Primary Contact

The "Project Director" is the person (or entity, in case of a committee structure*) who has ultimate legal authority and responsibility for the project. The Project Director legally holds the contractual and fiduciary duty of ensuring that the project meets the terms of the fiscal sponsorship agreement. The Project Director is contractually held to these duties until and unless (1) An Amendment is filed naming someone else as the Project Director, and is signed by all parties or (2.) The fiscal sponsorship agreement is terminated altogether. The Project Director is the person who signs the fiscal sponsorship agreement (FSA) and is uniquely the only person who can consent to amending or terminating the fiscal sponsorship agreement. Project Directors can and often do delegate many project responsibilities to other project contacts, but the PD is ultimately responsible to ensure that these responsibilities are being handled.

*In a committee version, a group of people (the Project Committee) enters the sponsorship agreement with Social Good Fund. The committee will decide on a Committee Chairperson who will sign the agreement on behalf of the listed committee members and represent the committee’s interests. All Project Committee members share the same legal responsibility vis a vis the relationship with SGF.

The “Primary Contact” is someone designated by the Project Director to serve as SGF's main point of contact for the project. (If desired the PD/committee signer can also be the Primary Contact.) The Primary Contact, like the PD, has full access to the SGF Members Portal (and therefore access to all project data, financial reports, ability to add or restrict portal access for other project contacts, etc. ). The Primary Contact could additionally be authorized by the Project Director to sign off on contracts and grant agreements on behalf of the project (which need to be actually signed by SGF), but the Project Director is ultimately responsible for ensuring that these responsibilities are being handled.

Both the Project Director and Primary contact receive SGF newsletters and mass email communications to projects.

Both the Project Director and Primary Contact can enable members portal accessarrow-up-right for additional project representatives to view project information and transact on behalf of the project (for example request payments or submit grant requests.)

Please note that if Project Directors and Primary Contacts are to be paid for any service they provide to the project, they must be brought on as employees (because by definition the work they are doing is core to the operation of the project), rather than as independent contractors. PDs and Primary Contacts may also be volunteers.
